1.Purpose
These Terms of Use (the “Terms”) govern access to and use of the ShopyX platform (websites, apps and merchant dashboard), which enables merchants to create online stores, take orders — including cash on delivery (COD) — and run operations (confirmation, delivery, inventory, analytics, apps and integrations).
ShopyX provides software as a service (SaaS). ShopyX does not sell the merchant’s products and is not a party to the sales contract between the merchant and the end buyer, unless expressly agreed in writing.
Using the platform means you fully accept these Terms. If you do not accept them, you must not use ShopyX.
2.Account creation
To use ShopyX you must create an account with accurate, complete and up-to-date information (identity, email, phone where applicable). You must keep your credentials confidential and promptly notify ShopyX of any unauthorized use of your account.
You represent that you have legal capacity and, where applicable, authority to bind the entity you represent. One merchant account may hold several stores under multi-store features.
ShopyX may refuse, suspend or delete an account in case of false information, abusive use, non-payment when billing applies, or breach of these Terms.
3.Merchant obligations
As a merchant, you alone are responsible for:
• your storefront content (products, prices, descriptions, media, promotions);
• compliance with laws applying to your activity (consumer, advertising, tax, regulated goods);
• publishing your own terms of sale and privacy policy for buyers;
• the lawful basis for collecting and processing your customers’ data, including when shared with carriers or tools you connect;
• confirmation, shipping, returns, disputes and after-sales for your orders.
You must not use ShopyX for illegal, fraudulent or misleading activity, or for goods/services banned by law or by ShopyX’s prohibited-products policy.
You must use the service fairly, without bypassing security, overloading, abusive scraping or unauthorized access.
4.Service availability
ShopyX aims to keep the platform available. The service is nonetheless provided “as is”. Interruptions may occur for maintenance, updates, force majeure, failure of a third-party provider (hosting, network, carriers, Meta, TikTok, etc.) or circumstances beyond ShopyX’s control.
ShopyX may change, suspend or evolve features, and will inform users of material changes affecting core use of the service.
Delivery times, ad performance and decisions of third-party partners are outside ShopyX’s operational control.
5.Intellectual property
The ShopyX platform, its code, design, trademarks, logos, text, interfaces and documentation are protected by intellectual property law. No licence is granted beyond the usage rights needed to use the service under these Terms.
You retain rights in content you upload or create in your workspace (catalog, text, media), and grant ShopyX a non-exclusive, worldwide, royalty-free licence limited to hosting, display and technical processing required to operate the service.
You warrant you hold the rights needed for content you publish and will indemnify ShopyX against third-party claims in that regard.
6.Suspension and termination
You may stop using ShopyX at any time and request account closure via the dashboard or support.
ShopyX may suspend or terminate access immediately, without notice, in case of serious or repeated breach of the Terms, reasonable suspicion of fraud, security threat, non-payment of amounts due, or use harming ShopyX, other users or third parties.
On termination, access ends. Data may be retained or deleted under the privacy policy and legal duties. Clauses that by nature survive (IP, liability, governing law) remain in force.
7.Liability
To the extent permitted by applicable Tunisian law, ShopyX is not liable for indirect damages, loss of revenue, data loss, lost profits, or harm arising from:
• acts or omissions of the merchant, their staff or subcontractors;
• carriers, payment providers, ad networks or other third parties connected by the merchant;
• temporary service interruption, integration error or misconfiguration attributable to the user;
• force majeure.
ShopyX’s aggregate liability for a claim related to the service is limited, all heads combined, to amounts actually paid by the account holder to ShopyX in the three (3) months before the event (or zero if use was free in that period).
Nothing in these Terms excludes liability that cannot be limited under mandatory law.
8.Governing law
These Terms are governed by Tunisian law.
Any dispute as to their validity, interpretation or performance shall, failing amicable settlement within a reasonable time, be submitted to the competent courts of Tunis (Tunisia), subject to any mandatory protective rules that may apply.
The French version of these Terms prevails in case of conflict with a translation.
